Morgan Stanley Smith Barney's Benefit Access for Restricted Stock Plans is a flexible and convenient online service. It allows participants to access their restricted stock account information, model tax payment methods, submit tax payment elections and sell shares via the Internet.

For Corporate Clients who use our services for multiple plans, our online Combined Benefit Statement features information for all plans in one concise online statement.

The site has been organized into the following four sections:

Submit Your Tax payment
  • Submit your tax payment - alternatives for next vesting

Familiarize yourself with your estimated tax payment alternatives for your next vesting. The tax payment methods is the method by which you choose how to pay taxes for your restricted stock before it is released:

  1. Pay cash / check Paying by cash/check an amount that equals the amount of tax withholding. This will allow you to receive the maximum number of shares. This payment would be made directly to your company.

  2. Withhold to Cover A surrender of shares back to the company that equals the amount of taxes needed for tax withholding. You receive the remaining share amount.

  3. Sell to Cover Sell enough shares needed to cover the tax withholding. You will receive any shares remaining.

  4. Sell all shares Sell all shares that vest and withhold an amount equal to the taxes from the proceeds. You will receive the cash that remains.

  5. Bonus Deduction A request to have your company deduct funds from your bonus that equals the amount of taxes needed for tax withholding.

  6. Payroll Deduction A request to have your company deduct from your salary (either in lump sum or over certain periods) the amount of taxes needed for withholding.

    Note: Most companies will not release the stock until the taxes are paid in full. Some companies may forfeit the shares if taxes are not paid by a specified deadline or default to share withholding.
